智通财经APP讯，华电国际电力股份(01071)公布，公司股东山东发展投资控股集团有限公司(以下简称“山东发展”)与山东国惠投资控股集团有限公司(以下简称“山东国惠”)于 2025 年 4 月 8 日签署了《山东国惠投资控股集团有限公司与山东发展投资控股集团有限公司之吸收合并协议》，协议约定山东国惠对山东发展进行吸收合并。
本次吸收合并完成后，山东国惠更名为新山东发展继续存续。山东发展及山东国惠的资产、负债、业务、人员、合同、资质及其他一切权利与义务均由新山东发展享有和承继，原山东发展予以注销，新山东发展承继增持山东发展所持公司全部股份。
本次吸收合并前，山东发展持有公司 A 股股份 664,865,346 股，占公司总股本的 6.50%;持有公司 H 股股份 72,386,000 股，占公司总股本的 0.71%;合计持有公司股份 737,251,346 股，占公司总股本的 7.21%。山东国惠持有公司 A 股股份 10,400,000 股，占公司总股本的 0.10%。本次吸收合并完成后，山东发展不再持有公司股份。新山东发展将直接持有公司 A 股股份 675,265,346 股，占公司总股本的 6.60%;将直接持有公司 H 股股份 72,386,000 股，占公司总股本的 0.71%;合计持有公司股份 747,651,346 股，占公司总股本的 7.31%。
