格隆汇4月8日丨潍柴动力(02338.HK)公告，公司董事会谨此宣布，其于本公告日期举行的董事会会议上已考虑并批准有关可能分拆潍柴雷沃智慧农业科技股份有限公司("潍柴雷沃")的股份并于香港联合交易所有限公司主板独立上市议案。
兹提议可能分拆拟通过潍柴雷沃发行新境外上市外资股("H股")的方式实施，预计新发行股份将占发行后潍柴雷沃经扩大股本比例不超过25.0%(行使超额配售权前)。此外，预期潍柴雷沃可能授予超额配售权，据此，潍柴雷沃可能须配发及发行不超过占可能分拆初始发行规模15%的股份。发行结构及新H股数目将于较后时间在适用监管机构审批及╱或注册规限下并视乎市场环境确定。
董事会认为，潍柴雷沃股份于香港联交所主板上市符合政府关于提升国有资产核心竞争力、增强国际影响力的政策方向。可能分拆将使潍柴雷沃得以把握资本市场深化改革的机遇，并将为潍柴雷沃提供直接进入资本市场的机会，使其融资渠道多元化并提高其经营能力，从而为其投资者带来稳定的回报，并有助于其可持续发展。
此外，预期可能分拆将提升潍柴雷沃于市场上的影响力并加强其于市场上的竞争优势及地位，亦将助力潍柴雷沃实现打造智慧农业科技行业全球领先品牌的战略目标。鉴于公司于可能分拆后将继续为潍柴雷沃的控股公司，以上所述预期将为集团增加整体价值，继而进一步为公司股东的整体利益增加价值。
