一年半以前，复星医药（600196）以2220万元收购了复健基金40%的股份，一年半以后，复兴医药又要以2653万元转让复健基金55%的股权。这样的“骚操作”引发了投资者的关注。

　　4月11日晚间，复星医药公告，公司拟以1399.37万元、1249.78万元、4.83万元分别向复星高科技、李凡及关晓晖转让所持上海复健29%、25.9%、0.1%的股权。转让后，公司持有上海复健的股权比例将由100%降至45%，上海复健将由集团合并报表子公司转为合营公司。公告称，本次转让系根据中基协等相关最新规定而对上海复健的股权结构作出相应调整。

　　2023年10月30日，复星医药公告，现金出资人民币2220.58万元受让复星健控持有的上海复健基金管理公司40%的股权。本次交易完成后，公司持有上海复健基金管理公司的股权比例将由本次交易前的60%增至100%。

　　公告显示，上海复健成立于 2019 年 9 月，它是中基协登记的私募基金管理人，专注于大健康领域基金的受托管理，孵化、投资生物医药、医疗器械、医学诊断等领域的企业。截至目前，上海复健管理 11 只产业基金（其中，9 只基金尚处于投资期、2 只基金处于退出期）。2024 年，上海复健实现营业收入人民币 7,141 万元、税前利润人民币-513 万元、净利润人民币-511 万元。2025 年 1 至 2 月，上海复健实现营业收入人民币 1,469 万元、税前利润人民币 451 万元、净利润人民币 445 万元。
