智通财经APP讯，承达集团(01568)发布公告，于2025年4月9日(交易时段前)，本公司直接全资附属公司Gloryeild、朗升与合营公司订立股东契据，内容有关就收购事项成立合营公司。
根据股东契据，Gloryeild须向合营公司注入Gloryeild股东贷款作为资本金，而朗升须透过指示及促使高时订立买卖贷款转让向合营公司注入资本金。
于合营公司成立后，根据适用的香港财务报告准则，合营公司从会计角度将作为本公司的合营企业入账;而合营公司的财务业绩将使用权益法入账。
合营公司的唯一业务为透过其附属公司的营运于不同地区从事批发、零售、分销、生产、营销、设计、进口、加工、贸易、供应、装配、维修树脂基人造石及树脂基人造石相关产品业务及╱或合营公司董事会不时一致同意的其他业务。
作为香港、澳门、新加坡及中国领先的综合室内装潢工程承建商之一，本集团不断寻求机遇以简化室内装潢材料的采购流程，使本集团为客户进行的室内装潢工程更具成本效益、更省时及更高效。由于人造石复合表面产品用作室内装潢材料的情况日趋普遍，本集团认为收购事项为本集团提供良机，有利于人造石复合表面产品的采购及生产。此外，收购事项将为本集团的资本增值，使本集团能够为股东赚取更多回报。因此，本集团决定就收购事项及进行收购事项与朗升成立合营公司。
