承达集团(01568.HK) 公布，旗下直接全资附属公司Gloryeild、朗升，与合营公司Quarella Global Limited订立股东契据，内容有关就收购事项成立合营公司。据悉，Gloryeild须向Quarella Global Limited注入Gloryeild股东贷款作为资本金，而朗升须透过指示及促使高时订立买卖贷款转让向Quarella Global Limited注入资本金。
于Quarella Global Limited成立后，根据适用的香港财务报告准则，Quarella Global Limited从会计角度将作为承达集团的合营企业入账；而Quarella Global Limited的财务业绩将使用权益法入账。
公告指，Quarella Global Limited唯一业务为透过其附属公司的营运于不同地区从事批发、零售、分销、生产、营销、设计、进口、加工、贸易、供应、装配、维修树脂基人造石及树脂基人造石相关产品业务，以及合营公司董事会不时一致同意的其他业务。(js/w)
