　　凤祥股份（09977）及要约人菁裕企业发展（山东）有限公司联合公布，于2025年4月11日，要约人与该公司订立合并协议，据此，要约人及公司将根据合并协议的条款及条件（包括前提条件及该等条件）实施合并。于合并后，公司将根据中国公司法及其他适用中国法律被要约人吸收合并。公司已向联交所申请H股自2025年4月14日上午九时正起恢复在联交所买卖。

　　根据合并协议，待前提条件及该等条件达成（或获豁免，如适用）后，要约人将（a）就注销H股向H股股东支付每股H股2.0港元；及（b）就注销内资股向内资股股东支付每股内资股人民币1.858440元（相当于按照汇率计算的每股H股的注销价）的注销价，惟Falcon Holding（要约人母公司）及Platinum Peony（要约人一致行动方）除外。每股H股注销价较最后交易日的联交所收市价每股H股1.50港元溢价33.33%。

　　于前提条件及所有生效条件达成后，公司将根据上市规则第6.15（2）条向联交所申请自愿撤销H股于联交所的上市地位。

　　据悉，要约人由Falcon Holding全资拥有，Falcon Holding为一家于开曼群岛成立的有限合伙企业，主要从事投资控股服务。
