智通财经APP讯，驴迹科技(01745)发布公告，公司董事会获臧伟仲先生(公司执行董事、董事会主席及控股股东)通知，Lu Jia Technology Holdings Limited(由臧伟仲先生直接全资拥有的公司)拟于本公告日期起计十二个月内在公开市场收购公司股份。
于本公告日期，臧伟仲先生于合共5.60亿股股份中拥有权益，占已发行股份总数约33.20%。按照臧伟仲先生的意向，于建议收购事项后，公司控股股东及与彼等任何一方一致行动的人士于公司的总持股量将不会导致根据公司收购及合并守则规则26，就香港上市公司的控股股东(连同与其一致行动的人士)于任何十二个月期间所持介于30%至50%的股权而言作出强制要约的责任(即将不会使其总持股量较其于建议收购事项前十二个月的最低持股水平增加超过2%)。
董事会认为，建议收购事项展示了臧伟仲先生对公司前景及增长潜力的信心。
