　　华康生物医学（08622）发布公告，于2025年4月16日，买方（公司间接全资附属公司宿迁市磐诺科技有限公司）拟向卖方（南京和臻、北京巴普及长沙可容）购买目标公司（湖南可悦生物科技有限公司）注册资本的91%，代价为人民币31.77万元。

　　目标公司及九合医药各自为为一间于中国成立的有限责任公司。九合医药为目标公司的直接全资附属公司。目标集团主要从事研发及销售女性健康产品，涵盖女性生殖系统解决方案、健康食品、抗菌产品及其他领域。目标集团拥有两个主要品牌玉坤舒及清徽悦。

　　为把握在中国及其他地区日益增长的女性健康市场中开拓不可多得的商机，集团及目标公司均已建立坚实基础。集团拥有国外供应链体系及国际销售网络，而目标公司在中国国内女性健康市场拥有研发经验、产品线及市场渠道。因此，董事会认为收购事项将使其充分发挥各自的优势，实现资源共享及优势互补，共同扩展国内外女性健康市场，满足女性消费者日益增长的健康需求。
