凯升控股(00102.HK) 公布，全资附属公司SA Investments作为认购人，于4月16日与LET Group Holdings(01383.HK) 非全资附属公司Suntrust订立认购协议，拟以现金分批认购由Suntrust发行的可换股债券，最高本金总额达86.33亿菲律宾比索，相当于约11.7亿港元。
于向认购人发行可换股债券及换股股份时，根据贷款融资协议的条款，可换股债券及换股股份均将构成押记予贷款人以担保有抵押债务(贷款人)抵押的一部分。根据SA Investments为贷款人签立的从属协议，SA Investments已不可撤回地将Suntrust根据所有向Suntrust提供的垫款及贷款欠付认购人及在支付有抵押债务(贷款人)方面排名较低的直接或间接、或然或非或然之任何及所有现时及未来债务、负债或义务置于从属地位。次级债务将涵盖于向认购人发行可换股债券时可换股债券项下应付认购人的所有款项。
凯升控股的股份自2024年2月14日起停牌，将继续暂停买卖，直至公司符合所有复牌指引、对导致其暂停买卖的问题作出补救，及全面遵守上市规则以令联交所信纳为止。(gc/w)(港股报价延迟最少十五分钟。)
