Glass Lewis issued an environmental, social, and governance (ESG) alert for Woodside Energy Group (ASX:WDS) shareholders ahead of the energy company's annual general meeting (AGM) scheduled for May 8.
The report cited its Vote No campaign and responsiveness to shareholder opposition as the basis for the alert.
Woodside's advisory vote on its 2023 Climate Report received only 41% support at the 2024 AGM, making it the first company globally to receive majority opposition to a Say on Climate vote.
While the company provided additional disclosure in response to the 2024 AGM vote, it is purported that it did not make any material changes to its strategy.
The 2025 Notice of Meeting allegedly contains statements from shareholders opposing the re-election of three director nominees, criticizing the board for failing to address "significant" shareholder concerns.
The alert's rationale centers on public stakeholder opposition and falls under climate change and greenhouse gas emissions, and board responsiveness.
Woodside shares fell nearly 2% in midday trade Thursday.
