消息面上，4月22日，时代天使发布公告，上海恺皓已成为公司的关联人士，原因是公司主要股东李华敏已收购上海恺皓总股权的40%。因此，上海恺皓与公司之间的加工承包协议项下的持续交易已成为公司的持续关联交易。根据上市规则第14A.60条，公司需遵守年度审阅及披露规定。
加工承包协议于2024年10月28日签订，主要条款包括上海恺皓根据无锡时代天使的购买订单提供原材料加工服务，协议有效期至2025年12月31日。加工服务费用将参考市场竞争状况和其他第三方价格进行公平磋商，确保价格具有竞争力。此外，董事会认为与可靠供应商建立长期合作关系对公司的业务增长至关重要。
