格隆汇4月22日丨中远海发(02866.HK)公告，中远海运发展股份有限公司(以下简称“公司”)于2025年4月8日召开第七届董事会第二十五次会议，会议审议通过了《关于中远海运发展回购股份的议案》，同意公司以自有资金或自筹资金以集中竞价交易方式回购公司股份全部用于注销并减少注册资本，回购A股数量为4,000万股-8,000万股，回购价格不超过人民币3.53元/股。
近日，公司取得中国银行股份有限公司上海市分行(以下简称“中国银行上海分行”)向公司出具的《贷款承诺函》，同意为公司回购A股股份提供专项贷款支持，贷款金额最高不超过人民币2.5416亿元，贷款期限不超过三年，承诺函有效期自签发日起一年。该笔贷款需符合相关法律法规、监管规定及政策，并依法经国家有权部门审批、核准、备案，具体安排由公司与中国银行上海分行签署的相关融资协议进行约定。
