智通财经APP讯，EDA集团控股(02505)发布公告，于2025年4月24日，北京力干(一家由独立第三方控制的合营公司)与 FLEXLOGIS PRIVATE(本公司的间接全资子公司)、EDA CLOUD(本公司的全资子公司)以及目标公司PT Flexlogis Investment Indonesia(本公司的间接全资子公司)订立投资协议，内容有关北京力干向目标公司注资人民币8380万元收购目标公司51.16%的股权。订立该投资协议之前，目标公司分别由FLEXLOGIS PRIVATE持有99.00%及 EDA CLOUD持有1.00%。完成注资后，FLEXLOGIS PRIVATE及EDA CLOUD持有目标公司的股权将分别从99.00%及1.00%下降至48.35%及0.49%。
目标公司主要在印度尼西亚共和国从事提供物流解决方案的业务。目标公司及其子公司目前于印尼邻近首都雅加达的坦格朗持有三个仓库，占地面积为2.81万平方米。
综合考虑目标公司当前的财务状况及未来的资金需求，董事认为该投资协议为目标公司引入外部资金提供了良好的机会，以及注资将改善目标公司的财务状况并增加其资本。注资还将产生人民币2700.3万元的处置收益，这对本集团而言具有积极的财务影响。
