智通财经APP讯，中国金石(01380)公布，有关公司与SinoAmerican Energy SpA 就可能向卖方收购Pureo 项目相关的七个采矿权而订立的谅解备忘录，在对Pureo 项目相关的采矿权进行初步尽职审查后，公司已决定不进行可能收购事项，并已于2025年4月23日(交易时段结束后)向卖方送达终止通知，通知卖方于当日终止谅解备忘录。于谅解备忘录终止后，谅解备忘录的约束性条款将不再对集团及卖方具有任何进一步法律效力，而公司及卖方于谅解备忘录项下的所有责任均获解除。
董事会认为终止谅解备忘录对集团的业务营运及财务状况并无重大不利影响，并将继续寻求其他投资机会以扩阔收入来源及进一步发展集团的业务。
