智通财经APP讯，大同集团(00544)发布公告，于2025年4月20日，公司与各个认购人分别订立该等认购协议，据此认购人A已有条件同意认购而公司已有条件同意按每股认购股份约0.04801港元的认购价配发及发行1934.07万股认购股份;认购人B已有条件同意认购而公司已有条件同意按每股认购股份约 0.04801港元的认购价配发及发行1934.07万股认购股份;及认购人C已有条件同意认购而公司已有条件同意按每股认购股份约0.04801港元的认购价配发及发行1934.07万股认购股份。
于2025年4月20日，公司分别与各个该等可换股债券认购人订立该等可换股债券认购协议，据此可换股债券认购人A已有条件同意认购而公司已有条件同意发行本金额为1500万港元的可换股债券，可按每股转换股份0.04801港元的换股价转换为转换股份;可换股债券认购人B已有条件同意认购而公司已有条件同意发行本金额为 1500万港元的可换股债券，可按每股转换股份0.04801港元之换股价转换为转换股份;及可换股债券认购人C已有条件同意认购而公司已有条件同意发行本金额为1500万港元的可换股债券，可按每股转换股份0.04801港元的换股价转换为转换股份。
考虑到近期市况，董事认为透过发起认购筹集资金属合理，并认为认购为公司提供机会，可增加其营运资本以及增强其资本基础及财务状况。认购不仅为公司提供集资机会，亦扩大并扩阔公司股东基础及资本基础。
认购的所得款项总额及所得款项净额分别约为279万港元及252万港元。认购的所得款项净额约252万港元将拟用于偿还集团债务;及为集团的营运资金提供资金。
