智通财经APP讯，晨鸣纸业(01812)公布，湖北长江晨鸣黄冈股权投资基金合伙企业(有限合伙)(以下简称 “晨鸣黄冈基金”)是为推动公司控股子公司黄冈晨鸣浆纸有限公司(以下简称“黄冈晨鸣”)二期项目建设而设立的专项投资基金。鉴于黄冈晨鸣二期项目已终止建设，且晨鸣黄冈基金经营期限即将届满。为进一步加强对黄冈晨鸣的控制力，提升上市公司抗风险能力、持续经营能力和盈利能力，公司控股子公司黄冈晨鸣纸业科技有限公司(以下简称“黄冈科技”)拟受让有限合伙人湖北长江(黄冈)产业投资基金合伙企业(有限合伙)持有的晨鸣黄冈基金 39.98%的基金份额，转让价款为人民币 439,157,698.63 元。
