帝王国际投资(00928.HK) 公布，据呈请人向香港高等法院提交的资料，经查明，该公司前执行董事兼首席执行官刘明卿及非执行董事晏明，于去年共同签署的货物销售协议、收货单据、结算付款协议，以及晏明与呈请人有关的第一份补充结算付款协议，上述事项均未获得董事会的批准及授权。
公告指，董事会已实施各项补救措施以核实、解决并追讨呈请的损失，包括寻求法律意见并考虑对晏明及刘明卿采取法律行动，以追讨该公司因呈请及与成立中国帝王及其附属公司有关的事件所蒙受的损失等。
帝王国际投资指出，由于中国帝王的成立并未获得董事会批准，该公司将不承认与中国帝王签署的任何协议的有效性，并将寻求法律意见以否认该公司及其他附属公司应承担的任何义务。(js/j)(港股报价延迟最少十五分钟。)
