帝王国际投资(00928)发布公告，于2024年4月27日，公司直接全资附属公司嘉晖控股有限公司与明远商学有限公司(明远)订立战略合作框架协议(框架协议)，以于中国内地建立集团主要业务(包括酒类及健康相关产品)的市场营销及营运。

根据框架协议，明远将整合其于中国内地的资源网络及市场营销能力，以协助集团提升市场渗透率及扩大品牌价值。明远将负责于中国内地(不包括香港、澳门及台湾)对集团指定产品(包括酒类及健康产品)进行市场调研、品牌推广、渠道开发及销售支持。明远亦将制定及提交年度推广计划，而该计划将于获集团书面批准后执行。双方将建立月度沟通机制，分享销售数据及市场回馈。集团将提供产品技术资料、合规文件及培训支持。框架协议的期限为自框架协议生效之日起3年。

董事会认为，框架协议为订约方提供宝贵的机会，以善用各自的资源及专长，实现互利共赢及为彼此创造协同效应。此举将达致更高效的营运及提升产品供应，从而进一步推动集团的酒类及健康业务。因此，董事会认为订立框架协议符合公司及其股东的整体利益。
