智通财经APP讯，创辉珠宝(08537)发布公告，于本公告日期，本公司推行现有购股权计划，该计划于2019年3月6日获本公司采纳，自采纳日期起计有效及生效为期10年。根据现有购股权计划，本公司可随时于股东大会上通过决议案提早终止其运作。本公司已于2021年3月19日进一步采纳一项股份奖励计划(股份奖励计划)。于本公告日期，并无根据现有购股权计划授出任何购股权，亦无根据股份奖励计划授出任何奖励。除现有购股权计划及股份奖励计划外，于本公告日期，本公司并无维持任何其他股份计划。
鉴于GEM上市规则第23章(修订本)已于2023年1月1日生效，并为更灵活地长期规划授出购股权，以向其雇员及董事提供适当之奖励或回报，董事会建议终止现有购股权计划并采纳2025年购股权计划。因此，终止现有购股权计划须以于股东特别大会上批准2025年购股权计划为先决条件。
于2025年4月28日，董事会(傅先生、张女士、傅女士及傅浩瀚先生除外，彼等各自为执行董事，作为GEM上市规则下的承授人或承授人的联系人，因此被视为于有条件授出中拥有权益，并于有条件授出时放弃投票)决议，(其中包括)根据2025年购股权计划向承授人有条件授出合共6000万份购股权。有条件授出须待股东于股东特别大会上批准后，方可作实。
