智通财经APP讯，百果园集团(02411)发布公告，焦岳先生(焦先生)因其个人职业生涯发展规划的改变而辞任本公司董事会环境、社会及管治委员会(环境、社会及管治委员会)成员;及香港联合交易所有限公司(联交所)证券上市规则(上市规则)第3.05条项下的授权代表职务;以及彼由执行董事调任为非执行董事，上述辞任及调任均于2025年4月30日生效。
焦先生调任非执行董事后，董事会宣布已委任执行董事朱启东先生(朱先生)为本公司上市规则第3.05条项下的授权代表，于2025年4月30日生效。
焦先生辞任环境、社会及管治委员会成员后，董事会宣布委任朱先生为董事会环境、社会及管治委员会成员，于2025年4月30日生效。
联交所于2024年12月19日发布了上市规则附录C1企业管治守则(企业管治守则)的若干变动，将于2025年7月1日生效。为符合企业管治守则的新守则条文第B.3.5条规定，董事会宣布委任执行董事徐艳林女士为董事会提名委员会成员，董事长兼执行董事余惠勇先生不再担任董事会提名委员会成员，于2025年4月30日生效。
