智通财经APP讯，旭辉控股集团(00884)公布，于2025年4月30日，公司的间接非全资附属公司重庆昌卓商务信息咨询有限公司及重庆睿昌文企业管理咨询有限公司拟向重庆巴通酒店管理有限公司出售重庆璟恩房地产开发有限公司的全部股权，代价为人民币3.58亿元。
据悉，项目公司主要从事房地产开发，并拥有及开发(其中包括)位于中国重庆市巴南区的多幅地块(项目名为重庆江山青林半)，包括目标项目。目标项目由位于中国重庆市巴南区的三幅地块及位于其上的两幢在建楼宇构成。其占地面积约为86,000平方米，计划开发为住宅，并配套商业设施及停车位，总建筑面积约为168,700平方米。
于签署转让协议后及出售事项进行前，该集团应进行集团内部重组，据此(其中包括)项目公司应将目标项目转让予目标公司，项目公司因目标项目产生且应付第三方的若干未清偿债务应转移至目标公司。于出售事项完成后，集团将不再持有目标公司及目标项目的任何权益。
公告称，出售事项将使集团免于向目标项目进一步注资用于其后续发展及因收购及开发目标项目而结欠及╱或担保的未偿还负债和债务。此外，出售事项将减少财务和管理支出，可使集团将资源重新调配至未来重点发展区域的其他项目，并增加集团的流动性以用于保交付及保经营。
