智通财经APP讯，鹰辉物流(01442)发布公告，于2025年4月29日，买方(公司间接全资附属公司Flexitank Solutions Pte. Ltd.)拟向卖方District Towers, S.L.收购目标公司Trust Flexitank, S.L.20%股权，现金代价为430万欧元，可予以调整(如有)。
目标公司主要从事大宗液体产品运输包装的制造、销售和分销。
自从集团于2023年12月收购目标公司的80%股权，目标公司已展示稳定的业绩改善及增强的策略价值。收购使公司能够充分利用完全控制目标公司所带来的价值，包括增强的未来收益、长期运营协同效应、精简决策过程，及让集团的策略方向更一致。
考虑到于完成后获得对目标公司的全面控制的好处，包括其未来的商业前景、发展潜力和现有资源后，公司决定通过买方收购销售股份。
完全拥有目标公司不仅巩固了集团的地位，还支持其增长的抱负。预计将通过改善盈利能力和投资回报，随着时间的推移为股东提供更大的价值。代价反映了目标公司的增长，自最初收购以来，完全控制的策略优势，及交易的协商性质。
完成后，目标公司将成为公司的全资附属公司，此将促使公司于目标公司的业务方面更有效地实施业务策略及业务扩展计划。
