智通财经APP讯，中国旭阳集团(01907)发布公告，于2025年4月29日，本公司的全资附属公司旭阳集团有限公司(旭阳集团)及邢台旭阳煤化工有限公司(旭阳煤化工)与深创投制造业转型升级新材料基金(有限合伙)(深创投)、农银金融资产投资有限公司(农银资产)及天津滨海能源发展股份有限公司(滨海能源，其股份于深圳证券交易所上市，证券代码：000695)签订了一份不具法律约束力的合作意向协议(合作意向协议)。根据合作意向协议，旭阳集团、旭阳煤化工、深创投及农银资产拟向滨海能源出售其分别所持沧州旭阳化工有限公司(目标公司)80.4765%、0.0080%、14.1931%及5.3224%的股权，以换取滨海能源向其发行对价股份(潜在交易)。
董事会认为新材料业务是本集团的战略发展方向和目标。潜在交易完成后，本集团的化工尼龙新材料业务将与滨海能源的新能源材料业务整合。本集团透过研发创新及运营管理一体化的优势，加快新材料产业链的协同效应，持续稳健发展，藉以打造世界领先的新材料公司。
