智通财经APP讯，华泰证券(06886)发布公告，自2024年4月6日至《激励计划》第三个限售期届满(即2025年4月5日)，《激励计划》授予的激励对象中共有143名激励对象存在个人绩效条件未完全达标、与公司解除劳动关系等情况，按照《激励计划》的相关规定，其已获授但尚未解除限售的部分或全部A股限制性股票将由公司予以回购注销。具体情况如下：
共有12名激励对象与公司解除劳动关系，不再具备激励对象资格。根据《激励计划》第十三章的相关规定，其已获授但尚未解除限售的A股限制性股票由公司予以回购注销。就该等情形，公司需回购注销的股数合计为18.73万股。
根据《激励计划》第三个限售期业绩考核的情况，共有131名激励对象2023年度绩效考核结果不满足全额解除限售的个人绩效条件，个人绩效系数为90%或70%，其持有的归属于第三个限售期的限制性股票未达到全部解除限售的条件，根据《激励计划》第八章的规定，其持有的未能解除限售的限制性股票，由公司予以回购注销。就该等情形，公司需回购注销的股数合计为25.12万股。
本次拟回购注销的限制性股票合计43.85万股，占《激励计划》项下已登记的A股限制性股票的比例约为3.15%，占截至目前公司总股本的比例约为0.005%。
