智通财经APP讯，金阳新能源(01121)公布，于2025年4月29日，公司间接全资附属公司金阳泉州新能源科技有限公司(金阳泉州)已与义乌晶澳太阳能科技有限公司(义乌晶澳)及福建金石能源有限公司(福建金石)就义乌晶澳与福建金石拟成立合资公司订立4吉瓦(GW)混合钝化背接触(HBC)升级改造项目合资协议。
根据协议，义乌晶澳及福建金石同意于中华人民共和国成立一家合资公司以生产合计4GW的HBC太阳能电池，以及金阳泉州同意授予合资公司权利使用其HBC太阳能电池专利技术。预期义乌晶澳及福建金石将分别持有合资公司的少数及多数股权，而金阳泉州将不会持有合资公司的任何股权。
为便于合资公司就该项目使用金阳泉州的HBC太阳能电池专利技术，根据协议，合资公司将于合资公司成立之日起7日内与金阳泉州订立知识产权许可协议，以及金阳泉州将于合资公司成立之日起60个工作日内向合资公司授予其HBC太阳能电池专利技术的使用权，代价为合资公司应向金阳泉州支付知识产权许可费。
