智通财经APP讯，东京中央拍卖(01939)及要约人ESSA FINANCIAL GROUP LTD联合公布，公司获卖方(安藤湘桂，执行董事兼董事会主席，于完成前为控股股东)及要约人通知，于2025年4月25日，卖方、要约人及其他买方订立买卖协议，据此，卖方同意出售而要约人及其他买方同意购买合共3.75亿股待售股份，相当于本联合公告日期公司全部已发行股本约74.99%。待售股份的总代价为1.65亿港元，相当于每股待售股份0.44港元。完成已于2025年4月25日落实。
于本联合公告日期，公司有5亿股已发行股份及4800万份未行使购股权，该等购股权的持有人可按每股股份0.80港元的行使价认购4800万股新股份。
紧接完成前，除卖方持有的3.75亿股待售股份外，要约人、其他买方及与彼等任何一方一致行动的人士并无持有、拥有、控制或无权指示任何股份或公司其他有关证券。
于完成后及于本联合公告日期，要约人、其他买方及与彼等任何一方一致行动的人士于合共3.75亿股股份中拥有权益，相当于公司全部已发行股本约74.99%。
每股要约股份0.44港元的股份要约价相等于要约人及其他买方根据买卖协议支付的每股待售股份的价格。
此外，公司已向联交所申请股份于2025年5月6日(星期二)上午九时正起在联交所恢复买卖。
