智通财经APP讯，瑞和数智(03680)发布公告，于2025年5月2日交易时间后，公司与配售代理订立配售协议，公司有条件同意委聘配售代理按尽力基准配售最多1.3亿股配售股份予不少于六名承配人，而该等承配人及其最终实益拥有人均为独立第三方，每股配售股份之价格为港币0.301元。
最多配售股份数目相当于截至本公告日期本公司现有已发行股本约19.67%;及经配售股份发行扩大后之本公司已发行股本约16.44%。
每股配售股份的配售价格为0.301港元，相较于最后交易日在联交所所报每股0.370港元的收市价，约有18.65%的折让;及紧接最后交易日前五个连续交易日联交所所报每股约0.375港元的平均收市价，约有19.73%的折让。
倘配售协议项下配售股份悉数获配售，则配售所得总款项预期约为3910万港元，扣除佣金及其他配售开支后，所得净款项约为3860万港元。该等配售所得净款项预计80%用于偿还集团借款，余下20%则用作补充公司的一般营运资金以支持其业务营运，范围包括但不限于员工成本、专业费用、租金及利息开支。
