智通财经APP讯，慧居科技(02481)发布公告，公司已获江苏双良科技有限公司(双良科技)及江苏利创新能源有限公司(江苏利创)(彼等均为公司的现有控股股东)的通知，为了进行内部重组以简化彼等在公司的持股权益，于2025年5月8日，双良科技及江苏利创完成将彼等直接持有的公司1.5亿股及5100万股股份(分别占于本公告日期公司已发行股份总数的约49.75%及16.91%)转让予双良科技的全资附属公司鸿大集团有限公司(鸿大)。
在股份转让完成后，鸿大将成为公司的直接控股股东，根据《收购及合并守则》第26.1条这将触发对公司所有股份进行强制性全面要约的义务。因此，双良科技及江苏利创已申请，且证券及期货事务监察委员会已向双良科技及江苏利创授出，豁免鸿大因股份转让而对公司所有股份作出全面要约的义务。
