吉利汽车拟2.566美元/股私有化极氪 溢价约13.6%
5月7日，吉利汽车（00175/80175）发布公告，宣布其向极氪（NYSE: ZK）提交了非约束性私有化建议，旨在推动内部资源整合、降低成本及提升企业竞争力。根据公告内容，公司初步表示有意收购所有已发行及发行在外的极氪股份及美国存托股票，收购价格为每股极氪股份2.566美元或每股美国存托股票25.66美元。
公告中提到，建议购买价较最后交易日美国存托股票于纽约交易所的收市交易价溢价约13.6%，并且较截至最后交易日止的最后30个交易日期间成交量加权平均价格溢价20%。
截至公告日期，吉利汽车持有极氪已发行及发行在外股本总额约65.7%。若私有化建议完成，极氪将成为吉利汽车的全资附属公司，并实现退市。
公司表示，私有化将为其创造一个统一的上市平台，全面整合极氪的资产及资源，以提升乘用车业务的竞争力。为实现该私有化建议，公司拟通过发行新股、现金储备及债务融资来提供资金。公告强调，该非约束性报价格函不具法律约束力，仍需进一步磋商及签订最终协议。
