Kohl's (KSS) board has formed a committee to oversee the search for a new chief executive officer, the company said in a regulatory filing Wednesday.
The board has appointed John Schlifske to serve as its independent chair, as Kohl's corporate governance guidelines do not allow Michael Bender to continue serving as the chair after his appointment as the interim CEO, the company said.
Director Christine Day has also resigned from the board and will no longer be up for reelection in the annual shareholders' meeting. The resignation was not due to any disagreements with the company, Kohl's said.
Shares of the company were up 4.7% in recent Thursday trading.
