智通财经APP讯，梧桐国际(00613)发布公告，于2025年5月8日(交易时段后)，买方Planetree Lavie Limited(公司全资附属公司)与卖方戴斌(Warpdrive Technology Limited的唯一股东)订立买卖协议。根据买卖协议，卖方已有条件同意出售，且买方(或其代名人)已有条件同意收购目标公司全部股权，总代价为750万港元。收购事项的代价将通过按发行价每股0.5港元发行公司1500万股代价股份的方式结算。
完成后，目标公司Warpdrive Technology Limited将成为公司的全资附属公司。戴斌(目标公司的唯一股东兼董事)将获委任为执行董事，且董事会认为戴斌能够带领公司于 AI芯片相关业务及半导体业务方面占据有利的市场地位。
每股代价股份0.5港元的发行价较股份于2025年5月8日在联交所所报收市价每股0.63港元折让约20%。
