智通财经APP讯，优矩控股(01948)及要约人Autumn Harvest Ltd联合公布，于2025年5月7日，要约人完成向Infinity Investment Holdings Limited购买303,695,400股股份，占于本联合公告日期公司已发行股份总数的50.62%，总代价为212,586,780港元(相等于每股销售股份0.70港元)。
紧随完成后及于本联合公告日期，要约人及要约人一致行动人士拥有合共 436,255,400 股股份(包括 303,695,400 股销售股份、Cheng先生股份及Vigorous Development股份)，占于本联合公告日期已发行股份总数的72.71%。
根据收购守则规则26.1，要约人须就全部已发行股份(要约人及要约人一致行动人士已拥有或同意购入者除外)作出无条件强制性现金要约。 每股要约股份的要约价0.70港元，较股份于最后交易日于联交所所报的收市价每股股份1.2港元折让41.7%。
此外，公司已向联交所申请于2025年5月8日上午九时正起恢复股份在联交所买卖。
据悉，要约人为一间投资控股公司，其已发行股本由Cheng先生直接实益拥有60%及由Ma女士直接实益拥有40%。要约人的唯一董事为Ma女士，彼为Cheng先生的配偶。
