智通财经APP获悉，Sunoco(SUN.US)宣布达成协议，将以约91亿美元(含债务)收购加拿大最大加油站运营商之一Parkland Corp.。根据周一发布的声明，Sunoco将在此交易中组建名为SUNCorp LLC的新上市公司。
这笔交易对总部位于卡尔加里的Parkland报价为每股44加元，采用现金加SUNCorp股票的组合方式，较上周五收盘价溢价21%。
Parkland作为独立运营公司的前景数月来一直存疑，此前该公司已聘请高盛集团和美国银行作为战略评估的财务顾问。其最大股东Simpson Oil持续施压要求改革，上月首席执行官Bob Espey在公司与Simpson的代理权争夺战中宣布将卸任。
若获得Parkland股东和监管机构批准，双方预计交易将于2025年下半年完成。
