智通财经APP讯，透云生物(01332)发布公告，于2025年5月6日，卖方(公司的直接全资附属公司Apex Capital Business Limited)拟向买方(复兴国际中国有限公司)出售目标公司(威道国际有限公司)股份总数的70%，代价为人民币1300万元。
目标公司为一间于中国香港注册成立的有限公司，主要从事提供产品包装上的二维码及解决方案以及广告展示服务。
于完成前及于本公告日期，目标公司由卖方及买方分别拥有70%及30%权益。于出售事项完成后，目标公司将不再为公司的附属公司，及公司将不再持有目标公司任何股份。
尽管目标公司于2024年12月31日取得未经审核负债净额约200万港元，但买方经审阅目标公司的业务及营运状况后，对其未来财务表现仍然乐观。经计及集团将收取的代价，董事会认为集团进行出售事项乃属恰当。出售事项落实后，可消除目标公司带来的负债增加的风险，并加强集团的现金流，让集团改善其流动性，并让集团得以重新配置其资源用于未来发展。
