智通财经APP讯，迪生创建(00113)发布公告，百德能证券有限公司(一家根据证券及期货条例获发牌进行第6类(就机构融资提供意见)受规管活动的持牌法团，已获委任为独立财务顾问，就以下事宜向独立董事委员会提供意见:(a)该建议及该计划之条款是否公平合理;及(b)无利害关系之股东在法院会议及股东特别大会应如何投票。该任命已由独立董事委员会根据收购守则规则2.1之规定而批准。
独立财务顾问就该建议及该计划向独立董事委员会发出之意见函将载于计划文件内，并将于适当时候根据收购守则及其他适用法律及法规之规定寄发予计划股东。
