宏信建发(09930.HK) 公布，今日(8日)其全资附属公司Horizon Construction Development Investment
(HongKong) Limited以1.76亿令吉(近3亿元人民币)，向Chan Heng Choy及How Mee Cheng购入TH Tong Heng Machinery Sdn. Bhd 80%股份。交易完成后，该公司将成为集团的附属公司。
同日，全资附属公司与Chan Heng Choy及目标公司订立股东协议，以规管目标公司的事务。Chan Heng Choy应向买方授出认购期权，以便买方认购期权股份，及买方应向Chan Heng Choy授出认沽期权，以便Chan Heng Choy要求买方认购期权股份。股东协议将于完成日期起生效。
TH Tong Heng Machinery Sdn. Bhd是在马来西亚注册成立的有限责任公司，主要从事机器及设备租赁；买卖全新及二手机器及设备；以及所有其他业务活动，目前分别由Chan Heng Choy及How Mee Cheng拥有99%及1%权益。完成后，目标公司将分别由买方及Chan Heng Choy拥有80%及20%权益。(sl/da)(港股报价延迟最少十五分钟。)
