智通财经APP讯，耐普矿机(300818.SZ) 公告，公司同意公司通过全资子公司新加坡耐普环球资源投资有限公司(简称“新加坡投资公司”)以现金出资方式认购瑞士公司Veritas Resources AG(维理达资源股份公司，为金诚信矿业管理股份有限公司(简称“金诚信”)在瑞士设立的全资公司，简称“维理达资源”)新发行股份，认购金额合计4,500万美元，及180万美元或630万美元或有认购。认购完成后，公司将持有维理达资源22.5%股权。
维理达资源现持有CMH Colombia S.A.S.(简称“CMH公司”)50%股权(另外50%股权由 Cordoba Minerals Corp.(简称“Cordoba 矿业”)通过其全资子公司持有)，CMH 公司通过其全资子公司拥有哥伦比亚San Matias 项目下Alacran铜金银矿、Alacran North矿床、Montiel East 矿床、Montiel West 矿床、Costa Azul 矿床的相关权益。 维理达资源增资完成后，将收购Cordoba矿业在哥伦比亚的全部矿产资源，其中主要资产为其持有的CMH公司50%股权。
公司通过认购维理达资源股权间接参与哥伦比亚San Matias项目Alacran 铜金银矿的开发建设，有利于为原有主业注入增长动力，强化核心业务优势，助力公司积累选矿流程运营管理经验和新产品新技术开发，推动公司业务从选矿设备及备件销售向选矿运营服务延伸，挖掘公司构建多元业务生态的潜力。
