<汇港通讯> 澳狮环球(01540)宣布，其间接全资附属Marvel Printing Pty Ltd(买方)收购澳洲墨尔本书籍装订及印刷加工之业务及资产，总代价最高为751.5万澳元(约3760万港元)(可予调整)。
此外，待收购事项完成后，买方授予选择权持有人(卖方信托之受益人)选择权，选择权持有人可于完成后3年开始至递延代价支付日期止之期间行使，可按150万澳元(约750万港元)之代价购买买方已发行股份之25%。
卖方主要在澳洲从事书籍装订及印刷加工，并为集团之分包商。通过收购事项，集团将能够增加其书籍装订及印刷加工的生产能力。董事亦认为，收购事项将增加集团现有印刷业务之收入来源并与之产生协同效益，从而支持其于澳洲印刷业之进一步发展。 (ST)
