智通财经APP讯，老铺黄金(06181)发布公告，于2025年5月7日(联交所交易时段后)，公司与配售代理订立配售协议，据此，配售代理已有条件及单独(而非共同或共同及单独)同意作为公司代理尽力促使合共不少于六名承配人按照配售协议所载条款并在其条件规限下购买431万股新H股，配售价为每股H股630.00港元。
配售股份分别占本公告日期已发行H股及已发行股份总数的约3.19%及约2.56%，且分别占经配发及发行配售股份扩大后的H股及已发行股份总数的约3.09%及约2.50%(假设除配发及发行配售股份外，自本公告日期至截止日期公司已发行股份未发生变动)。配售项下配售股份的总面值将为人民币431万元。配售价每股H股630.00港元较2025年5月7日(即配售协议日期)于联交所所报收市价每股H股685.00港元折让约8.03%。
假设所有配售股份均获悉数配售，预计配售所得款项总额及所得款项净额(经扣除佣金及估计开支后)分别为27.15亿港元及约26.98亿港元。按此基准，净发行价将约为每股配售股份625.99港元。
