立桥证券控股（08350）发布公告，于2025年5月7日，本公司作为买方与卖方（许楚家及张美娟）作为卖方签订买卖协议，当中本公司有条件地同意收购及卖方有条件地同意出售待售股份，代表标的公司（海山股份有限公司）的所有已发行股权，总代价为3500万港元，将透过发行代价债券向卖方支付。
在完成时，本集团将会持有标的公司的所有已发行股权，而标的公司将会成为本公司的直接全资子公司，而标的集团的财务信息将会合并于本公司的财务报表中。
标的集团自2005年成立以来有较长的经营历史，目前已经累计有大约20，000的客户人数并在潜在收购完成后可以合并至本集团。对比有机成长，将会加快发展为香港的领先线上券商。透过更强大的客户基数，本集团可以更好地利用其市场地位，进一步扩大其能力。
