智通财经APP讯，融科控股(02323)发布公告，于2025年5月6日，本公司接获联交所函件，载列以下有关恢复股份买卖的指引(复牌指引)：
(a) 就贷款的背景及真实性，包括批准贷款的董事的责任及角色;及据称出售事项(该等事宜)的真实性及合法性进行独立鉴证调查，评估对本公司业务营运及财务状况的影响，公布独立调查结果，并采取适当的补救措施;
(b) 证明并无有关本集团管理层诚信、能力及/或品格及/或对本公司管理及经营有重大影响的任何人士诚信、能力及/或品格的合理监管问题将为投资者带来风险及损害市场信心;
(c)进行独立内部监控审查，并证明本公司已制定足够的内部监控及程序，以遵守上市规则;
(d)解决导致核数师就截至2024年12月31日止年度的财务业绩(2024年度业绩)发表无法表示意见(无法表示意见)的问题，确保不再需要就该等问题发表无法表示意见，并披露足够信息，以使投资者能够根据上市规则第13.50A条的规定对其财务状况作出知情的评估;
(e) 证明本公司遵守上市规则第13.24条的规定;及
(f)向市场公布所有重要资料，供本公司股东及其他投资者评估本公司状况。
此外，公司股份继续停牌。
