智通财经APP讯，泰凌医药(01011)发布公告，董事会收到北京康辰生物科技有限公司(联营公司)及其大股东北京康辰药业股份有限公司(康辰药业)一家在上海交易所主板上市的公司(603590.SH)通知，康辰药业主动提出在保护所有股东权益的基础上对联营公司的资产进行拆分，解散联营关系，各自独立经营。
具体内容如下：
(1) 委托第三方评估机构，根据康辰药业最近一期对联营公司的估值及对联营公司的主要资产-密盖息针剂与喷剂进行独立评估，出具公允价值评估报告，作为资产划分的价格依据。
(2) 本公司可以根据价格和需要优先选择划分后的资产。
(3) 以协议转让方式进行资产交易和拆分，解散联营关系，各自独立经营。
(4)划分后的资产交易价格不低于评估价值。具体实施方案、交易条款等，由本公司及康辰药业商议确定。
