路透北京5月12日 - 中国钾肥生产公司--盐湖股份000792.SZ周一公布，与高地资源HFR.AX、兖矿能源600188.SS1171.HK和EMR资本签署了《项目合作意向书》，其有意向以3亿美元左右现金认购高地资源发行的普通股，成为高地资源最大股东并在交割时享有对高地资源的控制权。
盐湖股份在深交所刊登的公告并称，公司将通过一系列治理安排，实现对兖煤加拿大、高地资源及其下属Southey钾矿项目和Muga项目的实际控制。
高地资源总部位于南澳大利亚阿德莱德市，核心资产为位于西班牙北部的Muga钾盐绿地项目。兖煤加拿大为兖矿能源境外全资子公司，位于加拿大萨斯喀彻温省，核心资产为Southey钾矿项目。本次交易完成后，兖煤加拿大将成为高地资源的全资子公司。
去年9月，兖矿能源曾表示，拟通过资产注入和现金认购方式获得澳大利亚高地资源新增发股份，成为交易后高地资源的第一大股东并控制董事会。
周一兖矿能源公告指出，如高地资源与青海盐湖后续基于合作意向书签署具约束力的股份认购协议，公司将不再根据原交易安排成为高地资源第一大股东，取得高地资源控制权。（完）
