Kohl's Says Director's Resignation was due to Disagreements

Kohl's (KSS) said Christine Day resigned as a director due to disagreements with the board, the company disclosed Friday in an amended filing.

The retailer previously said that Day's departure was not due to any disagreements with the company.

However, in the latest filing, the company said the disagreements related to how the company responded to the recommendations from the Institutional Shareholder Services, a shareholder advisory firm, on the say-on-pay proposal and board process matters.

"There is simply no way the Board could have interpreted my resignation as having no conflict issues. This was a deliberately selective edit," Day said in her email to the board.

Kohl's said it "strongly disagrees with the assertions in Ms. Day's emails."
