智通财经APP讯，金融壹账通(06638)及要约人铂煜有限公司联合公布，于2025年5月15日，要约人要求董事会就根据公司法第86条以协议安排方式将公司私有化向计划股份(包括美国存托股相关计划股份)持有人提出该建议，相关私有化惟须待先决条件达成及条件达成或获豁免(如适用)后方可作实，而一经批准及实行，将涉及注销计划股份及(作为代价)就每股计划股份以现金向计划股东支付注销价，以及撤销股份于联交所及美国存托股于纽交所的上市地位。
该计划将约定注销计划股份(包括美国存托股相关计划股份)，以就每股计划股份换取现金2.068港元，注销价较最后交易日于联交所所报收市价每股股份1.680港元溢价约23.10%。每股美国存托股代表30股股份，因此，于该建议生效时，美国存托股持有人将就每股美国存托股收取相等于注销价2.068港元30倍的美元现金(按该计划生效日期前最新公布的联邦储备H.10汇率换算)。
据悉，要约人为平安集团(02318)的间接全资附属公司。要约人的主要活动为投资控股。要约人为公司的控股股东。
