北京首都机场股份（00694）发布公告，母公司与公司于2025年5月15日签订了资产转让合同。

根据合同，公司有条件同意收购母公司资产，即经大修跑到的道面及道肩、助航灯光系统、灯光设施及相关辅助设备，交易总对价为3.27亿元（可予以调整）。此次交易构成公司的关联交易，因母公司为控股股东，持有公司约58.96%的已发行股本。

根据估值报告，标的资产的评估价为2.36亿元，涉及的过渡性费用为6320万元，相关税费为2750万元。
