中国海外发展签订三年总承建协议 构成关联交易
5月16日，中国海外发展（00688）发布公告，宣布与中国建筑（601668）签订了新的总承建协议。该协议自2025年7月1日起生效，为期三年，至2028年6月30日结束。
此举是为了在未来的建筑工程项目中，继续邀请中国建筑参与竞争投标，利用其在建筑领域的专业能力。
根据公告，新总承建协议的合约金额上限分别为：2025年度25亿元、2026年度50亿元、2027年度50亿元和2028年上半年的25亿元。中建股份目前持有公司约56.10%的股份，作为公司的中介控股股东，因此此次交易构成持续关联交易，需遵守上市规则的相关规定。
公告还提到，由于合约上限的适用百分比率超出0.1%但低于5%，因此无需独立股东的批准。公司董事认为，新协议是在正常商业条款下公平磋商达成的，预计将有助于提升建筑工程服务的质量和效率。
