格隆汇5月13日丨中国抗体-B(03681.HK)公告，于2025年5月13日，公司与二十六名认购人（均为独立第三方）订立二十六(26)份认购协议，据此，认购人有条件同意认购而公司有条件同意发行合共1.13亿股认购股份，每股认购价为港币1.10元。认购股份相当于(i)公司于本公告日期的已发行股本约10.33%；及(ii)公司经发行认购股份扩大的已发行股本约9.37%。每股认购股份认购价为港币1.10元，较5月13日在联交所所报每股收市价港币1.240元折让约11.29%。
认购事项所得款项净额合共将约为港币1.24亿元。公司拟将所得款项净额用于以下用途：(i)45%用于SM17的研发及临床项目以及潜在国际合作，特别是在中国进行特应性皮炎的皮下桥接研究及二期临床研究，以支付试验费用、相关生产成本及相关雇佣成本；(ii)20%用于目前不在公司的产品线内的新候选药物的临床前研究、临床试验、相关生产、注册申报的准备工作及相关雇佣成本，以使公司的产品组合多元化，以及用于新候选药物的IND申报准备工作，特别是用于临床前研究、生产成本及相关雇佣成本；及(iii)35%用作一般营运资金。
董事认为，认购事项为公司筹集资金以满足公司资金需求及加强公司股权基础的良机。
