董事会经作出在相关情况下有关公司的合理查询后，除下文所披露者外，董事会确认并不知悉导致股价或成交量波动的任何原因亦不知悉根据证券及期货条例第XIVA部须予披露的任何内幕消息。
于2025年5月16日，公司收到若干债权人于2025年5月16日发出的催缴函，要求集团作为借款人立即偿还贷款及累计利息 ，该等债务公司拖欠时间较长，为避免债务恶化影响公司运营，公司正积极与该等债权人寻求解决相关债务的可行方案，经初步友好协商拟用可换股债券以抵销该等债务，公司将于适当时候或根据上市规则的规定就该等债务作出进一步公布。
