智通财经APP获悉，周一美股盘前，TXNM Energy(TXNM.US)股价大涨逾9%。此前该公司宣布，黑石(BX.US)基础设施基金已同意以每股61.25美元的现金价格收购这家公用事业公司，交易总企业价值达115亿美元(包含净债务)，这一消息证实了此前市场的收购传闻。
根据公告，此次收购价较上周五收盘价52.88美元溢价16%，较2025年3月5日(即媒体报道收购传闻前一交易日)30日成交量加权平均价溢价23%。
作为交易配套安排，黑石将通过私募配售方式，以每股50美元的价格认购TXNM 800万股新发普通股，总投资额达4亿美元，用于支持该公用事业公司的业务拓展计划。
交易完成后，现任执行董事长Pat Collawn将卸任，而总裁兼首席执行官Don Tarry将继续领导TXNM的日常运营。
据了解，去年，西班牙电力巨头Iberdrola旗下美国子公司Avangrid曾试图以43亿美元收购TXNM(当时名为PNM Resources)，但因未能获得新墨西哥州公用事业监管机构批准而最终放弃该交易。
